Please read these terms carefully

These Terms of Service govern access to limronix.com and any service supplied by Limronix. By using our website, accepting a proposal, approving an invoice, making a payment, or asking us to begin work, you confirm that you have read and accepted these Terms.

01Acceptance and order of priority

These Terms apply to every client, visitor, and authorized representative who purchases or uses Limronix services. If you accept them for a company or other organization, you represent that you have authority to bind that organization.

A signed agreement, statement of work, accepted proposal, order form, invoice, or checkout description may include service-specific terms. If documents conflict, the following order applies: (1) a signed agreement or statement of work, (2) the accepted proposal or order form, and (3) these Terms.

02Services and project scope

Limronix provides services that may include website design and development, website redesign and maintenance, SEO, digital and social media marketing, e-commerce solutions, domain and hosting assistance, technology support, and staffing and recruiting services.

The exact deliverables, price, timeline, revision allowance, support period, and exclusions are defined in the applicable proposal, package, or written confirmation. Anything not expressly included is outside the agreed scope and may require a separate estimate.

03Client responsibilities

To help us deliver the work accurately and on time, the client agrees to:

  • provide complete instructions, content, brand assets, approvals, access credentials, and other requested materials promptly;
  • ensure that all supplied text, images, videos, trademarks, data, and files are accurate, lawful, and properly licensed;
  • appoint one authorized contact who can provide consolidated feedback and approvals;
  • review deliverables, test important functionality, and report issues within the stated review period;
  • maintain secure copies of credentials and use an approved secure method when sharing sensitive access information; and
  • comply with all laws, platform rules, industry requirements, and contractual obligations relevant to the client's business.

Limronix is not responsible for delays, claims, or losses caused by incomplete, inaccurate, unlawful, or late client materials or instructions.

04Timelines, dependencies, and inactivity

Project dates are good-faith estimates unless a written agreement expressly identifies a date as guaranteed. Timelines begin only after the required payment, content, access, and approvals have been received.

Client delays automatically extend delivery dates. A project may be paused if requested materials or feedback remain outstanding. If there is no meaningful client response for 30 consecutive days, Limronix may archive the project, revise the schedule, and charge a reasonable restart or rebooking fee. Amounts already earned and third-party costs remain payable.

05Fees, taxes, and payment

  • Fees and payment milestones are shown in the proposal, package, invoice, or checkout page.
  • If no schedule is stated, a 50% advance is required to reserve resources and begin work, with the remaining 50% due before launch, transfer, or final handover.
  • Unless expressly stated otherwise, fees exclude applicable taxes, advertising spend, premium software, stock assets, domain or hosting fees, payment-gateway charges, and other third-party costs.
  • The client is responsible for bank, card, PayPal, currency-conversion, intermediary, and international transfer charges so that Limronix receives the full invoiced amount.
  • Limronix may pause work, withhold launch or files, disable services under its control, or adjust the schedule while an invoice is overdue.

Online package prices are subject to the features and limits displayed at the time of purchase. A custom request is not included merely because it relates to a listed feature.

06Revisions and change requests

Included revisions apply only to the original approved scope and must be requested before final approval. Where a package uses the phrase “unlimited revisions,” it means reasonable design adjustments during the active project—not unlimited concepts, repeated reversals of approved work, a new design direction, or new features and pages.

New functionality, additional pages, content creation, major layout changes, third-party integrations, work requested after approval, or work made necessary by changes to client or third-party systems may require additional fees and time. Limronix will seek written approval before beginning chargeable out-of-scope work.

07Review, approval, and delivery

Unless another period is agreed, the client should review each milestone within five business days. Delayed or fragmented feedback may affect the delivery schedule. An approval sent by email, message, project platform, or other agreed channel is treated as written approval.

A functional defect means a deliverable materially fails to perform an expressly agreed function. Preference changes, new requirements, third-party changes, and issues caused by client edits are not defects. Final launch, account transfer, editable files, and ownership transfer may be withheld until all due amounts are paid.

08Cancellation and refunds

Cancellation requests must be sent in writing. Because Limronix reserves time and begins customized work, advance payments become non-refundable to the extent they cover onboarding, planning, work performed, reserved capacity, and committed costs.

  • If a fully prepaid project is cancelled before completion, Limronix may refund any clearly unearned balance after deducting completed work, a reasonable project-initiation charge, payment fees, and non-recoverable expenses.
  • No refund is available for approved milestones, completed or delivered custom work, downloadable files, advertising spend, domain registrations, hosting, premium themes or plugins, software licenses, stock assets, or other third-party purchases.
  • Recurring services remain payable through the effective cancellation date and do not renew after cancellation is processed, subject to any minimum term in the applicable plan.
  • If Limronix ends a project without client breach, Limronix will return the unused portion of prepaid service fees, if any.

Nothing in this section limits a non-waivable refund or cancellation right under applicable law.

09Website and e-commerce projects

Limronix designs and tests websites using reasonable professional practices on the browsers, devices, and screen sizes identified in the project scope. Exact visual consistency across every device, browser version, operating system, or future software update cannot be guaranteed.

  • The client is responsible for final review of products, prices, taxes, shipping rules, legal notices, privacy disclosures, accessibility obligations, and business claims.
  • Payment processing is performed by third-party gateways. Limronix does not control transaction approvals, chargebacks, reserves, account verification, payout timing, or gateway suspensions.
  • Unless expressly included, legal compliance audits, accessibility certification, privacy or cookie documentation, penetration testing, and regulatory certification are outside the scope.

10SEO and digital marketing

SEO and marketing performance depends on search engines, advertising networks, competitors, audience behavior, website history, budgets, content, and other factors outside Limronix's control. Accordingly, Limronix does not guarantee a particular ranking, traffic level, lead volume, sale, follower count, approval, cost per result, or revenue outcome.

  • Search engines and platforms may change algorithms, policies, reporting, and account eligibility without notice.
  • Ad spend and platform fees are separate from Limronix management fees unless expressly included.
  • The client must promptly approve content and must not use undisclosed tactics or make conflicting changes that could undermine the campaign.
  • Reports rely on data made available by third-party tools and may contain delays, attribution limits, or discrepancies.

Limronix will use commercially reasonable methods aligned with the agreed strategy, but strategic recommendations are not a promise of a specific business result.

11Domains, hosting, software, and third parties

Services may rely on third-party products and platforms, including WordPress, Divi, WooCommerce, Shopify, plugins, hosting providers, domain registrars, payment gateways, analytics tools, email systems, social networks, and advertising platforms. Their terms, availability, pricing, security, and technical limits are controlled by their respective providers.

  • Domain availability is not guaranteed until registration is successfully completed.
  • The client must keep registration and billing information accurate and is responsible for renewals unless a written management plan states otherwise.
  • Third-party subscriptions, licenses, and renewals may be billed directly to the client or reimbursed to Limronix.
  • Limronix is not liable for third-party outages, policy changes, account closures, data loss, malware, API changes, discontinued features, or price increases.

If a third-party change requires additional migration, repair, or redevelopment, that work may be quoted separately.

12Staffing and recruiting services

Staffing and recruiting assignments are governed by the applicable staffing proposal or agreement, including fees, replacement terms, candidate ownership or introduction periods, and engagement type. Unless expressly agreed otherwise, Limronix acts as a sourcing and recruiting service—not as the employer of a candidate hired directly by the client.

  • The client makes the final hiring decision and is responsible for interviews, role suitability, compensation, work authorization, background checks, reference checks, workplace safety, classification, onboarding, and employment-law compliance.
  • Candidate availability, acceptance, performance, conduct, and length of service cannot be guaranteed.
  • Candidate profiles and personal information are confidential and may be used only for the stated hiring purpose. They may not be shared with another person or business without authorization.
  • Any replacement search or guarantee applies only when expressly written and all related invoices have been paid on time.
  • Clients must maintain fair, lawful, and non-discriminatory hiring practices.

13Intellectual property and licenses

Each party keeps ownership of materials it owned before the project. The client grants Limronix a limited license to use client-provided materials solely to perform the services and confirms that such use does not infringe another party's rights.

After full payment, the client receives ownership of the final custom deliverables expressly identified for transfer. Limronix retains ownership of its pre-existing methods, know-how, reusable code, frameworks, templates, internal tools, working files, rejected concepts, and general design elements. To the extent any retained Limronix material is embedded in a paid final deliverable, the client receives a perpetual, non-exclusive license to use it as part of that deliverable.

Source files, editable design files, premium assets, and account ownership are included only when stated in writing. Third-party materials remain subject to their own license terms.

14Confidentiality, credentials, and data

Each party will use reasonable care to protect non-public business, technical, financial, access, and candidate information received from the other party and will use it only for the engagement. This obligation does not apply to information that is public through no breach, already lawfully known, independently developed, or required to be disclosed by law.

The client should provide only the data necessary for the services and should not send highly sensitive personal, financial, medical, or regulated data unless the parties have first agreed in writing on appropriate handling requirements. The client remains responsible for its privacy notices, lawful processing basis, consents, retention rules, and data-controller obligations.

15Support, maintenance, security, and backups

Included support and maintenance are limited to the duration, hours, and tasks stated in the selected package or agreement. Unless stated otherwise, support covers reasonable assistance with Limronix-delivered work and does not include new features, redesigns, content entry, third-party repairs, malware recovery, or issues caused by client or third-party changes.

  • Requests may be submitted at any time, but response and completion times depend on business hours, priority, complexity, and the applicable service plan.
  • Unused monthly maintenance time does not roll over unless the plan expressly allows it.
  • The client must maintain current backups and secure passwords unless backup management is expressly included.
  • No website or online system can be guaranteed completely secure or continuously available.

16Portfolio and promotional use

Unless the project is confidential or the client opts out in writing before public release, Limronix may identify the client and display non-confidential final work, screenshots, links, and factual project descriptions in its portfolio, proposals, awards submissions, social media, and other promotional materials. Limronix will present the work professionally and will not disclose confidential information.

17Professional standard and disclaimers

Limronix will perform the services with reasonable professional care and in material accordance with the agreed scope. If the client reports a reproducible defect in Limronix's work during the included support or warranty period, Limronix will use reasonable efforts to correct it.

Except for express written commitments and rights that cannot legally be excluded, the website and services are provided on an “as available” basis. Limronix disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and guaranteed commercial results to the fullest extent permitted by law.

18Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, business opportunities, goodwill, anticipated savings, or data, arising from the services—even if advised that such loss was possible.

Limronix's total aggregate liability arising from a particular service will not exceed the amount actually paid to Limronix for that affected service during the six months preceding the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited, including liability arising from fraud or willful misconduct.

19Indemnification

The client will defend, indemnify, and hold Limronix and its personnel harmless from third-party claims, losses, penalties, and reasonable costs arising from client-supplied materials or data, the client's products or business practices, unlawful instructions, misuse of a deliverable, breach of these Terms, or infringement caused by content the client asked Limronix to use. Limronix will provide prompt notice and reasonable cooperation, and the client may not settle a claim in a way that admits fault or imposes obligations on Limronix without written consent.

20Suspension and termination

Limronix may suspend or terminate services for non-payment, unlawful activity, security risk, material breach, repeated failure to cooperate, abusive or threatening conduct, or a third-party provider's restriction. Where reasonably possible, Limronix will give notice and an opportunity to resolve the issue.

On termination, the client must pay for work completed and non-cancellable commitments through the termination date. Provisions concerning payment, ownership, confidentiality, disclaimers, liability, indemnification, disputes, and other terms intended by their nature to survive will remain effective.

22General terms and updates

  • Force majeure: Neither party is responsible for delay caused by events beyond reasonable control, including natural disasters, internet or utility failures, war, civil unrest, government action, labor disruption, epidemic, or widespread platform outage.
  • Independent parties: Nothing in these Terms creates a partnership, joint venture, agency, fiduciary relationship, or employment relationship between Limronix and the client.
  • Assignment: The client may not transfer an engagement without written consent. Limronix may use qualified team members and subcontractors while remaining responsible for its obligations.
  • Severability: If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue.
  • No waiver: A delay in enforcing a right is not a waiver of that right.
  • Electronic communications: Emails, messages, electronic approvals, and digital signatures may be relied upon as written communications.
  • Updates: Limronix may revise these Terms for future use. The updated date will appear at the top. Material changes will not retroactively alter a signed active engagement unless the parties agree or applicable law requires it.
